General Conditions of Sale – MediaSneakers.com

INTRODUCTION:
Goods are sold under these General Conditions of Sale (“Conditions”), also published on the website mediasneakers.com. These Conditions are considered accepted in full and without reservation upon order confirmation by the Buyer, per the methods in Article 3 (Orders). These Conditions govern the commercial relationship between B2B Action Oy (the Seller) and its Customers (Buyer(s)). No unilateral terms from the Buyer, nor any statements not agreed in writing by both parties, may derogate from these Conditions.

1. Prices

Product prices are as listed in the current MediaSneakers.com price list at the time of the Customer’s order. Prices are exclusive of VAT, insurance, and additional charges unless specifically agreed otherwise in writing. Prices do not include transport costs from origin factories in Italy or Portugal to the Customer’s address unless otherwise agreed in written. MediaSneakers.com reserves the right to modify prices without prior notice.

2. Products

Product descriptions and colors on the website or catalog are indicative and non-binding. Any specific requirements or clarifications must be requested in writing and confirmed by sample or written agreement.

3. Orders

Orders must be placed in writing via email or through the MediaSneakers.com order system. Orders must specify product codes, descriptions, quantities, colors, and any special requests.

· Any liability of MediaSneakers.com is excluded for direct or indirect damage relating to non-acceptance, planning, or production issues of one or more orders.

· Orders cannot be canceled by the Buyer without written approval from MediaSneakers.com; costs and penalties may apply in case of cancellation after work has commenced.

· Only MediaSneakers.com price list prices will apply unless otherwise specified in writing.

· Orders are fulfilled based on requested type and warehouse availability.

3.1 Delivery terms

The delivery date indicated confirms the shipment date from MediaSneakers.com’s warehouse or its partner factories in Italy or Portugal. Delivery dates are indicative and not essential. Late deliveries may occur, but such delays do not entitle the Buyer to order cancellation or compensation.

3.2 Communication

The Buyer must promptly notify MediaSneakers.com of any changes to address or contact details. Communications sent to the registered address are deemed valid until updated.

4. Transport

Goods travel at the Buyer’s risk, even if sold “Free Port”.
Transport costs are borne by the Buyer, unless otherwise agreed in writing.

· MediaSneakers.com is not responsible for loss or damage once goods have been handed to the carrier.

· Goods are insured only if expressly requested and paid for by the Buyer.

· If applicable, free port conditions may be subject to minimum order values.

5. Payment & Title Retention

Payment shall be made according to agreed terms.

· Late payments will result in loss of payment benefits, suspension of supplies, request for advance payment/guarantees, and the application of default interest per relevant laws.

· The Buyer remains liable for full payment, regardless of disputes, which will be resolved after payment.

· Title to goods transfers upon full payment. Risk passes to the Buyer upon dispatch.

6. Complaints & Disputes

The Buyer acknowledges product suitability before purchase.

· Personalized goods cannot be returned or replaced except for defects communicated promptly.

· Upon delivery, the Buyer must check goods and delivery documents for accuracy and condition. Damages or discrepancies must be noted to the carrier and reported to MediaSneakers.com within 8 days.

· Unauthorized returns will not be accepted.

· Supplier-origin differences in color/size/finish that do not alter product function are not a defect.

7. Returns

Returns require written authorization.

· Buyers are responsible for the cost (30% of goods value, minimum €15) of return handling.

· Transport costs for returns are borne by the Buyer.

· Returns are directed to designated warehouses as indicated by MediaSneakers.com.

8. Intellectual Property

MediaSneakers.com is not liable for use of logos, trademarks, or intellectual property supplied by the Buyer.

· The Buyer guarantees that its designs do not infringe third-party rights and indemnifies MediaSneakers.com against related claims.

· Use of custom branding by the Buyer does not assign rights over MediaSneakers.com trademarks or designs.

9. Cancellation of Custom Orders

Confirmed custom orders cannot be cancelled unless approved in writing by MediaSneakers.com; setup costs (including matrices and digital proofs) will be charged if cancellation is allowed.

10. Approval of Customization

Work on customized products begins only after written approval of the print proof by the Buyer.

11. Delivery Times for Custom Goods

Delivery time begins only when all technical details, logos, and approvals are received.

· Changes in order circumstances may result in delivery time adjustments.

12. Deliveries in Excess or Shortfall

MediaSneakers.com reserves the right to deliver up to 5% more or less than the quantity ordered for custom orders.

13. Use of Customer Branding

By providing logos and graphics for customization, the Buyer warrants lawful use and indemnifies MediaSneakers.com in case of claims.

14. Jurisdiction

Any dispute related to these Conditions shall be subject to the Court of Helsinki, Finland (or specify as preferred by B2B Action Oy). Written amendments signed by both parties are required for any changes.

15. Personal Data

MediaSneakers.com ensures personal data is processed securely and in accordance with applicable laws (see mediasneakers.com/privacy-policy for details).
